1) Acceptance of Terms

By accessing or using the Website, any subdomains, portals, learning management systems (“LMS”), or related services we make available (collectively, the “Services”), you (“you,” “user”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2) Who We Are

International Robotics College Inc. operates technical training programs in robotics and related disciplines. Phase 1 of our model is B2C (direct-to-learner). Equipment showcased on the Website or in our campuses is for training use only—IRC does not sell or lease hardware to students or third parties.

3) Eligibility

You must be at least the age of majority in your place of residence (or have verifiable parental/guardian consent) to use the Services. By using the Services, you represent that you have the legal capacity to enter into these Terms.

4) Changes to the Services and Terms

We may modify the Services and these Terms at any time. Material changes will be posted on the Website with an updated “Effective Date.” Your continued use after changes become effective constitutes acceptance of the revised Terms.

5) Account Registration & Security

Some features (e.g., LMS, applications, payments) may require an account. You agree to:

  • Provide accurate, current, and complete information.

  • Keep your login credentials confidential and secure.

  • Notify us promptly of any unauthorized use.
    You are responsible for all activity under your account.

6) Program Information & Non-Binding Content

Program descriptions, durations, start dates, outcomes, placement corridors, and pricing displayed on the Website are provided for informational purposes and may change. The final terms of enrollment, tuition, refunds, schedules, assessments, certifications, and placement support are governed by the applicable Enrollment Agreement, Student Handbook, and campus-specific policies you sign at onboarding.

7) Tuition, Payments, and Refunds

If you pay application fees, deposits, tuition, or other charges through the Website or our payment processors:

  • You authorize IRC and our processors to charge the payment method you provide.

  • Fees may be subject to taxes and processing charges.

  • Refunds (if any) follow your Enrollment Agreement, posted refund policy, and applicable law. Application or administrative fees may be non-refundable unless required by law.

  • Payment plans, scholarships, and aid are contingent on eligibility and continued compliance with academic and financial obligations.

8) Placement Support; No Guarantee

We offer career services (e.g., coaching, mock interviews, referrals, corridor guidance). Placement is not guaranteed. Outcomes depend on individual performance, language proficiency, employer needs, immigration/visa eligibility, and external market conditions.

9) Intellectual Property

All content on the Services—including text, graphics, logos, icons, photos, videos, course materials, simulations, lab documentation, software, and trademarks (collectively, “Content”)—is owned by IRC or its licensors and is protected by law.
You may access the Content for personal, non-commercial use while using the Services. You may not copy, distribute, modify, reverse engineer, or create derivative works from the Content without express written permission. All rights not expressly granted are reserved.

10) User Content & License

If you submit or upload content (e.g., application data, assignments, portfolio items, posts, feedback) (“User Content”):

  • You represent you own or have the rights to submit it and that it does not infringe others’ rights or violate law.

  • You grant IRC a worldwide, non-exclusive, royalty-free license to use, reproduce, display, perform, adapt, and create derivative works from your User Content solely to operate, improve, and promote the Services and programs (e.g., showcasing capstones with your consent where required).

  • We may remove User Content that we reasonably believe violates these Terms or the law.

11) Acceptable Use

You agree not to:

  • Use the Services for unlawful, harmful, fraudulent, or harassing purposes.

  • Upload malware, attempt to gain unauthorized access, or disrupt servers or networks.

  • Infringe privacy, publicity, or intellectual property rights of others.

  • Misrepresent your identity, credentials, or affiliation.

  • Scrape, harvest, or mine data except as permitted by robots.txt or our written consent.

  • Circumvent security, digital rights management, or access controls.

12) Third-Party Services & Links

The Services may link to or integrate third-party sites, LMS vendors, payment processors, credentialing bodies, or social platforms. IRC is not responsible for third-party content, terms, or privacy practices. Your use of those services is governed by the third party’s terms.

13) Equipment & Safety Notices

Any references to robots, PLCs, controllers, tooling, or software are for training use on IRC premises or approved labs. Users may not request, purchase, or rent equipment via the Website. Safety protocols, PPE, and lab rules in the Student Handbook and on-site signage must be followed at all times.

14) Privacy & Data Protection

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect personal data. Where applicable, we implement practices aligned with major data protection laws (e.g., California and international frameworks). Additional regional notices may apply to EU/EEA/UK residents.

15) Communications

By providing contact details, you consent to receive communications related to applications, enrollment, tuition, program updates, and marketing (where permitted). You can opt out of marketing emails using the unsubscribe link. Transactional or service-related messages may still be sent.

16) DMCA/Copyright Complaints (U.S.)

If you believe Content on the Services infringes your copyright, send a notice containing the elements required by 17 U.S.C. §512(c)(3) to [DMCA Agent] at info@internationalroboticscollege.com or our postal address. We may remove material and terminate repeat infringers consistent with the DMCA.

17) Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, INSTRUCTORS, ADVISORS, AND PARTNERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL CODE, OR THAT OUTCOMES (INCLUDING PLACEMENT OR CERTIFICATION RESULTS) WILL MEET YOUR EXPECTATIONS.

18) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, INSTRUCTORS, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO IRC FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 6 MONTHS BEFORE THE EVENT; OR (B) USD $100.

19) Indemnification

You agree to defend, indemnify, and hold harmless IRC and its officers, directors, employees, instructors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your: (a) use of the Services; (b) User Content; (c) violation of these Terms; or (d) violation of any law or third-party rights.

20) Suspension & Termination

We may suspend or terminate your access to the Services (including accounts) at our discretion if we believe you violated these Terms, applicable policies, or law. Upon termination, all licenses granted to you end, but sections that by their nature should survive (e.g., IP ownership, disclaimers, limitations, indemnities) will survive.

21) Governing Law; Venue

These Terms are governed by the laws of the State of California, without regard to its conflicts of law rules. You agree to exclusive jurisdiction and venue in the state and federal courts located in Santa Clara County, California, for any disputes not subject to arbitration (if applicable).

22) Dispute Resolution; Arbitration (Optional Clause)

At IRC’s or your election, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by a recognized provider under its rules. Class actions and jury trials are waived to the extent permitted by law. You may opt out of arbitration by sending written notice to info@internationalroboticscollege.com within 30 days of first accepting these Terms. If you prefer to omit arbitration, delete this clause before publishing.

23) International Users

Access to the Services may not be lawful in certain countries or for certain persons. You are responsible for compliance with local laws. Cross-border placement pathways are subject to employer demand and immigration/visa requirements that are outside IRC’s control.

24) Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, labor disputes, shortages, war, terrorism, civil disturbances, utility or internet outages, or government actions.

25) Entire Agreement; Severability; Assignment

These Terms, together with the Privacy Policy and any Enrollment Agreement or program-specific policies, constitute the entire agreement between you and IRC regarding the Services. If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or corporate reorganization.
